Terms of Service
Summary: These Terms govern your use of Stratyx OS on a subscription basis. The service is provided to businesses (B2B). You may cancel at any time with effect from the end of the current billing period. These Terms are governed by Belgian law.
1. Parties
These Terms of Service ("Terms") constitute a binding agreement between:
- Stratyx, a company established under Belgian law, operating Stratyx OS ("Stratyx", "we", "us"); and
- The business entity or individual professional registering for or using Stratyx OS ("Customer", "you").
These Terms apply exclusively to professional users acting in a business capacity (B2B). Consumer protection provisions of Belgian law applicable solely to natural persons acting outside their professional capacity do not apply.
2. The Service
Stratyx OS is a B2B commercial operating system delivered as Software-as-a-Service (SaaS). It provides: deal entry and signal tracking, decay detection, manager blind spot analysis, intervention coaching, scorecard reporting, fit check diagnostics, weekly cadence management, forecast monitoring, and stage gate enforcement.
Stratyx OS is provided "as-is" for its intended commercial use. We do not guarantee specific commercial outcomes from use of the service.
3. Account Registration and Workspace
- You must register using a valid professional email address and provide accurate information.
- Each subscription creates a workspace (organisation) tied to your company.
- You are responsible for all activity under your workspace, including activity by team members you invite.
- You must maintain the confidentiality of login credentials and promptly notify us of any unauthorised access.
- You must be at least 18 years old and authorised to bind your organisation to these Terms.

Current pricing is published on our website. All prices are exclusive of Belgian VAT (21%) unless stated otherwise. We reserve the right to change pricing with 30 days advance notice.
5. Payment and Billing
- Subscriptions are billed in advance — monthly or annually as selected at checkout.
- Payment is processed by Stripe (Stripe Payments Europe Ltd, authorised by the Central Bank of Ireland).
- Accepted payment methods: credit/debit card and SEPA Direct Debit.
- Invoices are issued electronically and sent to the billing email on file.
- Belgian VAT (BTW/TVA) at 21% is applied to all subscriptions for Belgian customers. EU customers outside Belgium must provide a valid VAT number for reverse-charge treatment.
- Failed payments result in a 7-day grace period before service suspension. We will notify you immediately on payment failure.
- You are responsible for providing and maintaining accurate billing information.
6. Cancellation Policy
You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period. You retain full access to the service until that date.
- Monthly plan: Cancel any time; access continues until end of the current month.
- Annual plan: Cancel any time; access continues until end of the annual period. No pro-rata refund is provided for unused months of an annual plan, except as required by Belgian law.
- Upon cancellation, your data is retained for 30 days to allow export, then permanently deleted.

7. Refund Policy
Because Stratyx OS provides a B2B SaaS service with immediate digital access, no right of withdrawal applies under Article VI.53, 13° of the Belgian Code of Economic Law (Wetboek van Economisch Recht), as you explicitly consent to immediate performance at checkout.
We may offer pro-rata refunds at our discretion in the event of extended service unavailability caused by Stratyx (excluding force majeure events). Requests should be directed to os@stratyx.be.
8. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose or in violation of applicable laws
- Attempt to gain unauthorised access to other workspaces or Stratyx infrastructure
- Reverse-engineer, decompile, or attempt to extract the source code
- Resell, sublicense, or white-label the service without written consent
- Upload or process data that infringes third-party intellectual property rights
- Use the service to process data about individuals who have not been informed as required by GDPR
- Transmit malicious code, spam, or conduct denial-of-service attacks
Violation of acceptable use may result in immediate suspension or termination of your account without refund.
9. Intellectual Property
Our IP: Stratyx OS, its design, source code, AI models, and methodology are the exclusive intellectual property of Stratyx and are protected under Belgian and EU intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable licence to use the service during your subscription.
Your data: You retain full ownership of all commercial data you upload to Stratyx OS (deal records, check-in responses, pipeline information). You grant Stratyx a limited licence to process this data solely to operate and improve the service as described in the Privacy Policy.
10. Data Processing
To the extent that your use of Stratyx OS involves the processing of personal data of your employees or contacts (e.g., rep names, buyer contact names), you act as the data controller and Stratyx acts as your data processor under GDPR Article 28. Our Privacy Policy constitutes our Data Processing Agreement, which you accept by using the service.
11. Service Availability and SLA
We target 99.5% monthly uptime for the Stratyx OS platform. Scheduled maintenance will be communicated at least 24 hours in advance. Service credits for extended downtime (exceeding 0.5% monthly) may be requested by contacting support within 30 days of the incident.
We do not guarantee uninterrupted service and are not liable for downtime caused by third-party infrastructure providers (Vercel, Supabase, Clerk) or events outside our reasonable control.
12. Limitation of Liability
To the maximum extent permitted by Belgian law:
- Stratyx OS is provided as a decision-support tool. Stratyx is not liable for commercial decisions made on the basis of information displayed in the platform.
- Our total aggregate liability for any claim arising out of or related to these Terms shall not exceed the total fees paid by you in the 3 months preceding the claim.
- We shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or loss of business, even if advised of the possibility of such damages.
- Nothing in these Terms limits liability for gross negligence (zware fout), wilful misconduct (opzettelijke fout), death, or personal injury caused by our negligence, as such limitations are void under Belgian law.
13. Indemnification
You agree to indemnify and hold Stratyx harmless from any claims, damages, or costs (including reasonable legal fees) arising from (a) your violation of these Terms, (b) your misuse of the service, or (c) your violation of applicable law or third-party rights.
14. Termination
By you: You may terminate your subscription at any time as described in Section 6.
By us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay after the grace period, or if required by law. We will give 14 days notice for non-material breaches to allow remediation.
Upon termination, your licence to use the service ends immediately. Your data is retained for 30 days for export, then permanently deleted.
15. Changes to These Terms
We may update these Terms. Material changes will be notified by email at least 30 days before taking effect. Continued use of the service after the effective date constitutes acceptance. If you do not accept the changes, you may terminate your subscription before they take effect.
16. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with Belgian law, without regard to conflict of law provisions. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Brussels, Belgium (Rechtbanken van Brussel / Tribunaux de Bruxelles).
17. Miscellaneous
- Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between the parties regarding use of Stratyx OS.
- Severability: If any provision is found invalid under Belgian law, the remaining provisions continue in full force.
- No waiver: Failure to enforce any right does not constitute waiver of that right.
- Language: The English version of these Terms is controlling. Translations are provided for convenience only.
